Essential QR Menu Service Terms

These terms explain the general service scope, working process, and responsibilities of both parties in a transparent way. They are not a claim of legal certification and will not be published until the appropriate commercial, legal, and accounting review is complete.

Initial version for owner review. A specific written proposal may supplement these terms. If there is a conflict, the specifically agreed written scope will control only to the extent permitted by law. Applicable legal rights remain unaffected.

1. Service provider and contact channels

The service provider is Ader Reynoso, operating as Soy Mazatlán.

2. Base service scope

Essential QR Menu is a service for creating and maintaining, during the contracted period, a responsive web menu reached through a QR code. The base scope includes:

  • A mobile-first digital design responsive on phones, tablets, and computers.
  • Up to 40 products organized by category, with names, descriptions, and prices.
  • Spanish as the base language.
  • Visual adaptation using the client’s approved identity and supplied materials.
  • A QR code for printed materials and a hosted address within Soy Mazatlán.
  • Approved contact, location, and social links when supplied by the client.
  • One initial revision round before final approval.
  • The first year of hosting and an accessibility-conscious shared structure.

One revision round means one consolidated list of reasonable corrections submitted together. It does not include unlimited redesigns, repeated direction changes, new functionality, or replacement of the originally approved scope.

3. Optional services

The following are quoted separately and are not part of the base scope:

  • English or additional languages; photograph optimization; a product photography session.
  • Products beyond 40; additional revision rounds; frequent price or product changes.
  • New categories or substantial content restructuring.
  • Reservations through WhatsApp or future advanced reservation functions.
  • A custom domain; a new design direction; integrations or custom development.
  • Additional hosting or maintenance after the included period.

4. Price and payment

Essential QR Menu — MXN $2,490, VAT included. Introductory price in one payment. It includes creation of the base menu, the approved Essential QR Menu scope, and the first year of hosting.

The prospect first contacts Soy Mazatlán. Soy Mazatlán confirms the scope and required materials, then provides the applicable written scope, final amount, these terms, privacy information, and payment instructions. The client gives affirmative written acceptance and makes the agreed one-time payment.

Production begins only after payment and all complete, usable materials are confirmed. Optional services or additions require client approval before a charge is created.

There is no automatic renewal or automatic recurring charge. Payment may later be completed through a manually supplied Mercado Pago link or direct SPEI instructions, depending on what is available for the transaction; no specific method is guaranteed for every transaction.

Advertised prices include VAT. The applicable fiscal receipt or invoice will be issued through the SAT portal.

No automatic purchase, checkout, payment processor, subscription, operational payment link, or automatic charge is integrated into this page.

5. Hosted address, QR code, and domains

The base plan includes a menu address hosted within Soy Mazatlán. It does not include the purchase of a custom domain, which may be requested separately.

The intended format is soymazatlan.com/menu/business-name/. The QR code leads to that address. Approved content and prices may be updated without reprinting the complete QR design while the public address remains unchanged.

Availability after the included period requires an active continuity arrangement. The base service does not sell or transfer a domain, register one in the client’s name, transfer ownership of soymazatlan.com, or transfer the shared platform or its source code.

A custom domain is optional, subject to availability, separately quoted, and has its own registration and renewal costs. Ownership, registrant, administration, renewal responsibility, and transfer conditions must be agreed in writing before purchase. Registration in the client’s name is preferred whenever operationally possible. Availability is not promised before verification and payment.

6. Process and estimated delivery

Estimated delivery is approximately seven business days after the one-time payment and all complete, usable materials have been received. No absolute delivery date is promised before reviewing the project. The process is:

  • The prospect contacts Soy Mazatlán, and the scope and required materials are confirmed.
  • The client receives the written scope, final amount, terms, privacy information, and payment instructions.
  • The client gives affirmative written acceptance and makes the agreed one-time payment.
  • The client supplies all materials and Soy Mazatlán confirms they are complete and usable.
  • Production begins and a review version is provided.
  • The client submits one consolidated revision list and Soy Mazatlán applies in-scope corrections.
  • The client approves the final content in writing; only then is the menu published.

Missing, incorrect, changing, or late materials move the delivery schedule.

7. Client information and materials

The client must provide accurate information and verify product names, descriptions, prices, ingredients, dietary labels, allergens, and possible cross-contact information. The client must supply only photographs, logos, text, and other materials it owns or is authorized to use, obtain needed permissions, approve the final menu, and notify Soy Mazatlán when information changes.

Soy Mazatlán does not independently certify food safety, allergens, ingredients, prices, permits, health claims, trademarks, or intellectual-property ownership. It will correct reported publication errors within the agreed scope, while the business remains the authoritative source for its menu information.

8. Photography and image editing

Suitable client photographs may be used after quality and rights review. Image optimization or a photography session may be quoted separately; not every product needs a photograph.

AI-assisted editing must not intentionally invent ingredients, portions, plating, packaging, or characteristics that misrepresent a real product. The client must approve final production images. Fictional demonstration imagery is not presented as actual client work.

9. Content, platform, and intellectual property

The client retains ownership of or responsibility for its business name, logo, trademark, original photographs, supplied text, product information, and other materials it provides and is authorized to use.

Soy Mazatlán retains ownership of the shared source code, menu system, templates, reusable components, validation architecture, shared design system, development methods, internal tools, and generic improvements not created exclusively for one client.

The client receives the right to use the published menu during the active service period. The base package does not include source-code delivery, exclusive ownership of the template, resale rights, transfer of the shared platform, or exclusivity over general design or functionality.

10. Review, approval, and publication

When Soy Mazatlán provides a review version, the client is asked to submit one consolidated correction list within five business days. If more review time is needed, the client may communicate it. The production schedule pauses while Soy Mazatlán waits for the client’s information, corrections, or approval.

Approval must be a clear, affirmative written confirmation by email or in the official WhatsApp conversation. Silence or browsing never constitutes approval or acceptance. Nothing will be published as approved without that confirmation.

If no client response is received for 30 calendar days, the project moves to paused status but is not automatically deleted. Restarting work is subject to the current production schedule and availability and may require a new delivery date. No reactivation fee is established, and the project is not treated as legally abandoned.

After approval, implementation mistakes within approved content will be corrected. New prices, products, photographs, direction changes, or additional functions may require a separate quote. Approval does not waive rights that cannot legally be waived.

11. Hosting, availability, and maintenance

The first hosting period is included according to the selected plan. Reasonable maintenance or temporary interruptions may occur; absolute uninterrupted availability is not guaranteed.

Soy Mazatlán will make reasonable efforts to restore service after an incident within its control. Third-party provider failures, internet failures, force majeure, malicious attacks, or client-supplied errors may be outside its direct control. This does not remove rights or obligations under applicable law.

12. Cancellation and refunds

The client may request cancellation through contacto@soymazatlan.com or the official WhatsApp at +52 669 166 8766. There is no automatic renewal or automatic recurring charge in the current launch workflow.

Any refund or amount that may be retained must consider applicable law, work already performed, previously approved third-party expenses, and service already provided. The definitive calculation and procedure remain subject to professional legal review before publication.

This draft establishes no automatic “no refunds” rule, cancellation penalty, or invented fee. Client rights under applicable law remain unaffected.

13. Continuity after the included period

There is no automatic renewal during launch. Soy Mazatlán will contact the client approximately 15 calendar days before the included period ends. The client chooses whether to continue, and no further charge occurs without affirmative confirmation.

If the client does not continue, the menu may be deactivated after the paid period ends and the QR code may stop reaching an active menu. A reasonable opportunity to request continuation will be provided before deactivation; indefinite storage or free availability is not included.

Essential Continuity — MXN $1,200 for each additional year, VAT included. It includes one additional year of hosting, technical maintenance of the existing menu, and up to two consolidated update packages during that year; each package may contain up to 10 simple text or price changes.

It excludes redesign, new functionality, photography, a new language, massive product changes, new integrations, and custom-domain registration or renewal costs. The future MXN $299 active-maintenance plan is not part of these terms.

14. Privacy

This page collects no data. Before payment, the client must receive or be able to consult the Soy Mazatlán privacy notice. Its final public route will be added only after publication is authorized.

This draft adds no forms, accounts, Analytics, cookies, payment fields, identity documents, or material uploads.

15. Service acceptance

Before payment, the client should receive the specific scope, total price, one-payment details, included items, optional items, delivery estimate, a link or copy of these terms, the privacy notice, and a clear way to accept or ask questions.

Acceptance should be recorded through an affirmative written response before payment. No checkbox, electronic-signature system, or automated workflow is implemented yet.

16. Draft status and professional review

Before publication, professional guidance should address cancellation and refund treatment for the one-payment project, including completed work, provided service, and approved third-party expenses; tax and invoicing treatment; privacy wording; and whether these terms or the contract model require a filing or registration with PROFECO.

This document does not claim attorney certification, guaranteed invoice availability, completion of a mandatory registration, or a conclusion that registration is unnecessary.
